These Terms of Service are a binding agreement between you and ToolShare US when you access or use the marketplace. If you do not agree, do not use ToolShare US.
1. Eligibility
You must be at least 18 years old, legally capable of entering into contracts and legally permitted to use the services and equipment involved in a rental. We may refuse or restrict access where required for safety, fraud prevention, legal compliance or prior serious violations.
2. Account responsibility and verification
You must provide accurate information, keep your login credentials secure and promptly update material account information. Accounts are personal and may not be sold, shared or transferred without permission. You are responsible for activity performed through your authenticated account unless applicable law provides otherwise.
ToolShare US may require email, phone, identity, payment or payout verification before allowing listings, rental requests, payments, payouts or other higher-risk activity. Verification does not guarantee a user's identity, honesty, safety or ability to perform a rental.
3. Marketplace role
ToolShare US operates a technology marketplace that connects independent owners and renters and facilitates booking, payment, deposit authorization, rental management, communication, dispute support and owner payouts. Unless ToolShare US expressly states otherwise for a particular service, the owner—not ToolShare US—is the provider and lessor of the listed tool. ToolShare US is not the manufacturer, repairer, employer, carrier, bailee or insurer of member-owned tools.
4. Listings and owner responsibilities
Owners may list only tools they own or are legally authorized to rent. Listings must accurately describe the item, condition, material defects, included accessories, rental rate, deposit, availability, pickup expectations and any restrictions. Owners are responsible for complying with laws, permits, licenses, safety requirements, taxes and other obligations applicable to their tools and rental activity.
Owners must not knowingly list illegal, stolen, recalled, materially unsafe or prohibited items.
5. Renter responsibilities
Renters must review the listing and booking details, use tools lawfully and only as intended, comply with manufacturer instructions and safety requirements, and return the tool and all included accessories by the agreed time in substantially the same condition, ordinary wear excepted. Renters may not subrent, transfer or materially modify a rented tool without the owner's authorization.
6. Booking requests and confirmation
A request does not create a confirmed rental until the owner accepts it and the renter completes any required payment and security-deposit authorization. ToolShare US may block conflicting dates and may prevent pickup if required payment, verification or deposit conditions have not been satisfied.
7. Rental charges and service fees
The renter's checkout amount may include the rental subtotal and a Service Fee. Owner proceeds may be reduced by an owner marketplace fee. Applicable amounts are shown by ToolShare US for the transaction and may be changed for future rentals. A fee snapshot stored with a rental controls that rental even if marketplace settings later change.
Taxes or other legally required amounts may be added when applicable. Users authorize ToolShare US and its payment providers to process amounts presented and accepted through the transaction flow.
8. Payment processing and saved-payment authorization
ToolShare US uses third-party payment providers, including Stripe, for payment processing, security-deposit authorization and owner payouts. Full card numbers and bank-account credentials are handled by the payment provider rather than stored in ToolShare US application records. Use of payment and payout features may also be subject to the provider's terms.
When a rental checkout specifically asks for saved-payment authorization, the renter may authorize ToolShare US and its payment provider to save the payment method used for that rental and initiate future off-session charges only for transaction types and calculation methods disclosed in these Terms, the Rental Agreement and the booking-specific policy. ToolShare US records the renter's consent. This authorization does not permit arbitrary charges and does not convert an extension into an automatic renewal.
9. Security deposits
For rentals that require a security deposit, ToolShare US may place a pre-authorization hold on the renter's payment method. The security deposit is separate from the normal rental charge and is not automatically collected as revenue. For an ordinary completed rental with no timely claim, the authorization is released according to the platform's deposit-release process.
If a timely dispute involving damage, loss or missing items is opened, automatic release may be suspended while the matter is reviewed. Only ToolShare US's controlled dispute-resolution process may cause an approved amount to be captured from a deposit authorization; owners cannot directly capture the renter's deposit. If a processor authorization expires or becomes unavailable before a dispute is resolved, an approved renter obligation may still remain payable through another permitted payment method.
10. Pickup, condition records and return
ToolShare US currently supports local pickup and return between the owner and renter. Both parties should inspect and document the tool at pickup and return. Photos, timestamps, accessory records, messages and other transaction evidence may be used to establish condition and evaluate later disputes.
11. Cancellations and refunds
Cancellations are governed by the Cancellation & Refund Policy. Under the current marketplace workflow, an eligible rental cancelled before pickup is completed may be cancelled by an authorized party. If a qualifying Stripe rental payment has already been collected, the platform attempts to refund the recorded rental payment and release any active manual security-deposit authorization. Refund timing is subject to the payment provider and the renter's financial institution.
12. Extensions, late returns, non-return and late charges
A renter may request additional rental time when the feature is available. An extension is not effective until required renter approval, owner approval and any additional payment have been completed. Availability and conflicting bookings may prevent an extension.
Listings may include disclosed late-return rules. When a rental becomes overdue, ToolShare US may calculate an overdue rental charge using the booking's stored late-return settings, grace period, daily rate and actual return timing. If the renter expressly authorized permitted off-session charges at checkout, ToolShare US may attempt to collect a finalized overdue amount from the saved payment method without requesting a second approval for the same disclosed charge. An issuer may still require the renter to authenticate or provide another payment method. A late charge is handled separately from the security deposit and does not automatically cause the deposit to be captured.
Failure to return a tool is handled through a separate safety and non-return process. ToolShare US may restrict additional rental activity, preserve transaction evidence and facilitate notices or other lawful recovery steps. An internal overdue or non-return status is not by itself a determination that a person committed theft or another crime.
13. Damage, missing items and disputes
Owners must promptly report damage, missing parts or accessories, abnormal condition or other rental problems and provide reasonable evidence. Renters may provide their own evidence and response. ToolShare US may place a dispute under review, request additional documentation and make an operational financial decision based on available information.
For a deposit-related claim, ToolShare US may reject the claim and release the authorization, approve part of the claim and capture only the approved amount, or approve an amount up to the available authorized deposit. An approved deposit-claim amount is intended to compensate the owner for the approved loss and is tracked separately from normal rental proceeds. ToolShare US is not a court, insurer, claims adjuster or guarantor of recovery, and either party may retain rights available under applicable law.
14. Owner payouts
Owner payouts may require successful identity and payout verification. Payout eligibility may depend on the rental being completed, payment being settled, required waiting periods expiring, and there being no unresolved dispute, refund, chargeback, fraud or compliance hold. Payment-provider availability, reserves and compliance requirements may also affect timing.
15. Prohibited conduct
You may not use ToolShare US for fraud, theft, illegal activity, prohibited or unsafe listings, harassment, discrimination, infringement, malware, scraping that interferes with the service, unauthorized access, false identity information, false disputes, manipulated evidence, chargeback abuse, payment circumvention or attempts to defeat marketplace security controls.
16. User content and communications
You retain ownership of content you submit, including listing descriptions, photographs, messages, condition records and support materials. You grant ToolShare US a non-exclusive license to host, reproduce, display and use that content as reasonably necessary to operate, secure, improve and promote the marketplace and to investigate transactions and disputes. You are responsible for having the rights needed to submit that content.
17. Suspension and termination
ToolShare US may remove listings, restrict features, suspend accounts, hold payouts or terminate access when reasonably necessary for safety, fraud prevention, nonpayment, chargebacks, legal compliance, misuse of deposits or disputes, prohibited conduct or material policy violations. Obligations arising from completed or pending rentals, payments, refunds, disputes, claims and legal requirements may survive account termination.
18. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOLSHARE US IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TOOLSHARE US DOES NOT GUARANTEE THE CONDITION, SAFETY, LEGALITY, QUALITY, SUITABILITY, AVAILABILITY OR PERFORMANCE OF A MEMBER-LISTED TOOL OR THE CONDUCT OF ANY USER. USERS ASSUME THE ORDINARY RISKS ASSOCIATED WITH DIRECT PEER-TO-PEER RENTALS.
19. Limitation of liability
To the maximum extent permitted by law, ToolShare US and its affiliates will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for lost profits, data or reputation, arising from use of the marketplace. Any limitation applies only to the extent enforceable and does not waive rights that cannot lawfully be waived.
20. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise. Nothing in these Terms eliminates non-waivable consumer rights or remedies.
21. Electronic transactions
By using ToolShare US and electronically accepting transaction terms, you consent to electronic records, notices and signatures in connection with marketplace activity, subject to rights that applicable law does not permit you to waive.
22. Changes to these Terms
ToolShare US may update these Terms from time to time. The “Last updated” date identifies the current version. Continued use after revised Terms become effective constitutes acceptance to the extent permitted by law.
